First Transfer Secretaries (Private) Limited “FTS” was established in 1984 as a subsidiary of RAL FHoldings Limited “RAL”. RAL changed its name to FMB Holdings Limited and later to ABC Holdings Limited. On 28 February 1999, FTS was sold to a former FMB General Manager, leading to it becoming a stand alone indigenous firm. FTS is situated at No. 1 Armagh Avenue, Corner Armagh Avenue & McChlery Road,Eastlea, Harare.
The strength of the company lies in the diverse skill base and solid understanding by its staff of the administration of complex corporate actions covering initial public offers, reverse listings, share splits, scrip dividend offers, redemption and conversion of special debt instruments, bonus issues and rights issues.
FTS’s milestones are highlighted in Appendix 1. Key staff is fully conversant with all secretarial aspects required to assist companies in raising capital through the capital markets. In addition to this, the executives have been at the forefront of the major privatisations and listings in Zimbabwe. The directors and management have been on the cutting edge in the development of innovative share transfer operational systems.
FTS entered into an alliance with a local software development company and the strategic move was geared at strengthening FTS IT competence. In addition, the company has recruited experienced IT resources that are capable of handling complex relational databases such as SQL.
In November 2000, the company extended its services to cover the Botswana Stock Exchange “BSE”. The company now controls approximately over 42% of the market share of counters on the ZSE and has remained as the leading transfer secretarial company in Zimbabwe. Our client profile is shown on Appendix 2 below.
In 2010 FTS were the lead bidders in a consortium that won the tender to establish the country’s first central securities depository (CSD). The CSD is now fully operational under Chengetedzai Depository Company Limited and FTS remains a shareholder in that entity to this day.
